LOTTERY USA $3K GIVEAWAY

NO PURCHASE NECESSARY. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

Open only to legal residents of fifty (50) United States and Washington, DC, who are 18 years of age (or age of majority in jurisdiction of residence, whichever is higher) or older. See Section “F” below for complete restrictions on eligibility.

Giveaway (also referred to as “Sweepstakes”) starts July 19, 2023 at 12:00:01 a.m. Eastern Time (ET) and ends August 18, 2023 at 11:59:59 p.m. ET (“Giveaway Period”).

By participating in the Giveaway, you accept and agree to abide by and be bound by these Official Rules and the decisions of Probability LLC (the independent judging organization administering the Giveaway on behalf of Sponsor; hereafter, “Administrator”), whose decisions along with those of Sponsor are final and binding in all respects and not subject to appeal.

1. To Enter.
   1. During the Giveaway Period, visit the Lottery USA web site (www.lotteryusa.com, “Web Site”) and register for a free Lottery USA account by providing your e-mail address, mailing address and date of birth as well as creating a unique username and password.† To register for a Lottery USA account, you must also agree to the Terms and Conditions of the Web Site as well as the Web Site’s Privacy Policy regarding the collection, use and sharing of your personal information; without limitation, unless you expressly consent otherwise, your e-mail address and mailing address will only be used for purposes of administering the Giveaway. BE SURE TO CAREFULLY REVIEW THE TERMS AND CONDITIONS AS WELL AS THE PRIVACY POLICY BEFORE REGISTERING. {If you already have a Lottery USA account, sign in with your username and password.}
   2. Upload a qualifying comment (including but not limited to participating in a community forum) to the Web Site at least ten (10) times during the Giveaway Period. See Sections “B” and C” below for restrictions governing comments.
   3. When uploading a comment, be sure to include #LotteryUSASweepstakes so as to denote that your comment was posted in conjunction with participation in a random drawing sweepstakes promotion designed to market and advertise Sponsor’s online community.

   †It is your sole responsibility to maintain the security of your username and password from unauthorized use. Choice of username and password is subject to review and approval by Sponsor in its sole discretion: usernames/passwords that are profane, obscene or otherwise objectionable will not be accepted.

   A Lottery USA account registration (if not already an accountholder) and uploading a total of at least ten (10) qualifying comments during the Giveaway Period will result in receipt of one (1) entry. (No bonus entries will be provided if posting in excess of ten [10] qualifying comments during the Giveaway Period.)

   Receipt of entry may be acknowledged by Sponsor or Administrator; but, any such acknowledgment is not otherwise binding upon Sponsor or Administrator under any legal theory.

2. Entry Restrictions.
   1. To count toward the requirement of uploading ten (10) comments:
      1. each comment must be solely the original work product of the Lottery USA accountholder posting same (re-posting/copying other persons’ comments is prohibited);
      2. each comment must fully comply with Sponsor’s content restrictions (see Section “C” below), as determined by Sponsor and Administrator in their sole discretion;
      3. each comment must include the #LotteryUSASweepstakes hashtag;
      4. the same comment cannot be uploaded by a given Lottery USA accountholder more than once;
      5. only one (1) comment posted by a given Lottery USA accountholder during a given thirty (30) minute period will count toward the required ten (10) uploads;
      6. a comment must consist of at least five (5) words and cannot include attachments;
      7. a comment cannot consist solely of an emoji; and
      8. each comment must comply with the programming, electronic and technological specifications of the Web Site.
   2. Sponsor or Administrator will notify Lottery USA accountholder if a given comment does not qualify towards the requirement of uploading ten (10) comments. Such notification may – but is not required to – identify the reason(s) why a given comment did not qualify. If a given comment is determined by Sponsor or Administrator to be particularly egregious or if a given person repeatedly posts unqualifying comments, Sponsor reserves the right to disqualify such person from the Sweepstakes; suspend or terminate such person’s Lottery USA account; and take other actions consistent with the terms and conditions of the Web Site so as to maintain its safety and integrity for all users.
   3. Use of automated, robotic or programmed means of registering and/or posting of comments is prohibited. The preceding includes but is not limited to the use of third party sweepstakes subscription services.
   4. Proof of submission of registration and uploading ten (10) comments does not constitute proof of entry.
   5. Should there be a dispute as to the identity of a participant, the entry shall be deemed to be submitted by the person who is the authorized account holder of the e-mail account provided as part of the corresponding Lottery USA account registration. “Authorized account holder” is defined as the natural person who is assigned to the e-mail address by an internet access provider, online service, or other organization that is responsible for assigning e-mail addresses.
   6. Accessing the Web Site and participating in Giveaway via mobile device may result in the imposition of wireless Internet access fees and/or other charges as per the wireless carrier’s billing policy. All such fees are the sole responsibility of the participant. Wireless Internet access is not available in all areas or on all mobile devices.
3. Additional Restrictions: Content of Comments.

   A comment is not qualifying and will not count toward the requirement of uploading ten (10) times if Sponsor or Administrator determine in their sole discretion that its content is in violation of Sponsor’s Content Standards as set forth in the Terms and Conditions of the Web Site, including without limitation:

   1. infringes any patent, trademark, trade secret or other intellectual property or other rights of any other person;
   2. violates the legal rights (including the rights of publicity and privacy) of others or contains any material that could give rise to civil or criminal liability under applicable laws or regulations or that otherwise may conflict with the Web Site’s Terms and Conditions or Privacy Policy;
   3. promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
   4. contains any sexually explicit or pornographic material or material intended to groom, traffic or extort any person;
   5. promotes violence, hate speech or activities, goods, services or information that could reasonably be expected to cause serious and immediate harm to people or animals;
   6. promotes any illegal activity, or advocate, promote or assist any unlawful act;
   7. involves commercial activities or sales, such as spam, contests, sweepstakes and other sales promotions, barter or advertising;

   In addition, a comment is not qualifying and will not count toward the requirement of uploading ten (10) times if Sponsor or Administrator determine in their sole discretion that its content reflects adversely on Sponsor, its business reputation or goodwill.

   Grant of Rights in Comment:

   1. Entrant grants to Sponsor and its designees the non-exclusive, irrevocable, perpetual, worldwide, royalty-free, transferable, sublicensable right and license to use, perform, exhibit, reproduce and/or otherwise exploit one or more of the comments provided as part of his/her/their entry, in any manner and in any and all distribution channels, venues or media now known or hereafter devised, without further notice or any compensation to such entrant;
   2. Entrant further waives any “Moral Rights of Authors” (“Droit Moral”) or similar natural rights of ownership that entrant may have in the comments provided as part of his/her/their entry whether under statutory or common law;
   3. Entrant understands and agrees that Sponsor and its designees have wide access to ideas, stories, designs and other literary/artistic materials submitted to them by outside sources or being developed by their own employees and that such ideas/stories/designs/literary/artistic materials may be competitive with, similar to (or even identical to) the comments provided as part of his/her/their entry and that Sponsor and its designees shall have no liability to entrant or any third party in conjunction therewith;
   4. Entrant understands and agrees that Sponsor and its designees do not have any duty of confidentiality or other fiduciary duty to entrant relative to the comments provided as part of his/her/their entry, including error, failure, malfunction or defect as to how such comment(s) are posted for public viewing on the Web Site.

   COMMENTS PROVIDED AS PART OF ONE’S ENTRY IN THE GIVEAWAY REPRESENT SOLELY THE OPINION OF THE PROSPECTIVE ENTRANT HIM/HER/THEMSELVES AND DO NOT REFLECT THE VIEWS OF SPONSOR OR ADMINISTRATOR. SPONSOR IS MERELY ENCOURAGING PERSONS TO POST COMMENTS IN CONJUNCTION WITH ENTERING A RANDOM DRAWING SWEEPSTAKES PROMOTION TO POSSIBLY WIN A PRIZE. SPONSOR AND ADMINISTRATOR DISCLAIM ANY AND ALL LIABILITY UNDER ANY LEGAL THEORY WITH REGARD TO THE MODERATION, REVIEW OR FILTERING OF COMMENTS POSTED BY ANY PERSON ON THE WEB SITE. SPONSOR AND ADMINISTRATOR WILL NOT EDIT OR MODIFY ANY COMMENT POSTED BY AN ENTRANT IN CONJUNCTION WITH CONDUCT OF THE SWEEPSTAKES.

4. Winner Selection & Notification.

   Administrator will select potential winners in a random drawing comprised of all eligible entries received. The random drawing will take place on or about August 22, 2023. Provided that the ten (10) comments are qualifying, their content will not be taken into account as part of the winner selection procedure.

   Potential winners will be notified by e-mail and/or mail as reflected in their Lottery USA account registration at time of random drawing. (It is the entrant’s sole responsibility to update his/her/their e-mail address and mailing address if it changes after creation of Lottery USA account.)

   Potential winners may be required to complete, sign and return an Affidavit of Eligibility, a Liability Release and a Publicity Release (where legal) within five (5) days of date of prize notification. In the event of noncompliance with this requirement (as applicable); if potential winner cannot be contacted for any reason despite Sponsor’s/Administrator’s commercially reasonable efforts to do so; or if potential winner is determined to be ineligible or otherwise in violation of these Official Rules, the prize will be forfeited without compensation of any kind and an alternate potential winner may be selected from among all remaining eligible entries received.

   Should the execution of an Affidavit of Eligibility, a Liability Release and a Publicity Release (where legal) be required, potential winner understands and agrees that an electronic/digital signature will have the same legal effect as a hand-signed document.

5. Prizes/Odds of Winning.

   First Prize (1) - $500

   Second Prize (1) - $300

   Third Prize (1) - $200

   Fourth Prize (10) - $100

   Fifth Prize (20) - $50

   Total Value of All Prizes: $3000.

   All prizes will be awarded in the form of a check. Prizes will only be sent to a mailing address in the (50) United States or Washington, DC.

   Limit of one (1) prize per family, household or address. Winner is solely responsible for any and all costs related to acceptance and use of the Prize as well as for any applicable taxes on prize. No prize substitution. Prize is not transferable without the written consent of Sponsor which may be withheld or granted at its sole discretion and without liability of any kind.

   Odds of winning depend on the total number of eligible entries received.

6. Eligibility.

   Employees, officers and directors and their immediate family members (defined as: parents, children, siblings, spouse) wherever they may live and others living in their same household (whether related or not) of Sponsor, Administrator, their respective subsidiaries, affiliates and any entities involved in the development, production, design and implementation of the Sweepstakes are not eligible to enter or win a prize.

7. Releases.

   By participating, entrant indemnifies, releases and agrees to hold harmless Sponsor, Administrator, their respective subsidiaries, affiliates and any entities involved in the development, production, design and implementation of the Sweepstakes and Meta Platforms, Inc. from any and all liability arising from participating in the Sweepstakes, any Sweepstakes-related activity and/or the acceptance, receipt, possession or use/misuse of any prize (if applicable). The preceding includes but is not limited to any liability arising from or related to the posting of any comment which allegedly violates the intellectual property rights of any third party.

   To the fullest extent permitted by law, acceptance of prize constitutes the winner’s agreement to the use of his/her name, address (city, state), likeness, photograph, other indicia of persona and/or statements made by winner regarding the prize, the Sweepstakes or the Sponsor for advertising/publicity/trade purposes by Sponsor and its designees without further compensation or review, approval or notice of any kind. The preceding may include in Sponsor’s sole discretion the winner participating in media interviews and promotional activities at Sponsor’s request. Nothing herein, however, in any way obligates Sponsor to use winner for advertising/publicity/trade purposes; and, by refraining from doing so, Sponsor shall not incur any liability under any legal theory.

8. Limitations of Liability.

   Sponsor and Administrator assume no responsibility for:

   1. any incomplete, incorrect or inaccurate information whether caused by tampering, hacking or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error of any kind;
   2. any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of the Web Site or any registration/comment/entry;
   3. any problems or technical malfunctions of any telephone network or lines, computer on-line-systems, servers or providers, computer equipment, software, programming or failure of electronic transmissions on account of technical problems or traffic congestion on the Internet affecting the Web Site, the ability to create an account and/or post comments and thereby enter the Sweepstakes;
   4. late, lost, illegible/garbled, inaccessible, incomplete, damaged, misdirected, corrupted, jumbled, improperly recorded or unrecorded registrations/comments/entries, regardless of cause, all of which are void;
   5. if a Lottery USA accountholder is not properly credited with an entry, his/her/their sole recourse is receipt of a replacement entry (if feasible) and if not feasible Sponsor and Administrator shall not have any liability under any legal theory; and
   6. any damage to entrant’s or any third party’s computer or mobile device (or the data stored thereon) caused directly or indirectly in whole or in part by participation/attempted participation in the Sweepstakes.

   Force Majeure. If, for any reason, the Sweepstakes (or any part thereof) is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, fire, flood, storm or other natural cataclysm, riot, strike, civil commotion, governmental regulation or any other causes beyond the control of Sponsor which, in its sole opinion, corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes (or any part thereof), Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes and conduct the Sweepstakes and select the prize winners from among all eligible entries received prior to the action taken by Sponsor or otherwise in a manner which is fair, equitable and in accordance with these Official Rules, as determined by Sponsor in its sole discretion. Notice of such action by Sponsor will be posted by Sponsor on the Web Site.

9. General.

   In the event of any inconsistency between these Official Rules and the content of any Sweepstakes promotional/advertising materials, these Official Rules shall prevail, govern and control. Sponsor’s/Administrator’s failure to enforce any provision of these Official Rules on a given occasion will not constitute the waiver of such provision.

   This promotion is in no way sponsored, endorsed or administered by, or associated with, Instagram or Facebook.

   CAUTION: ANY ATTEMPT TO TAMPER WITH OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES OR TO DEFRAUD SPONSOR OR ADMINISTRATOR AS TO THE CONDUCT OF THE SWEEPSTAKES CONSTITUTES TAMPERING IN VIOLATION OF THESE OFFICIAL RULES AS WELL AS A POSSIBLE VIOLATION OF CIVIL AND/OR CRIMINAL LAW. IN SUCH CASE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY SUCH PERSON FROM THE SWEEPSTAKES; SUSPEND OR TERMINATE SUCH PERSON’S LOTTERY USA ACCOUNT; AND TAKE OTHER ACTIONS CONSISTENT WITH THE TERMS AND CONDITIONS OF THE WEB SITE SO AS TO MAINTAIN ITS SAFETY AND INTEGRITY FOR ALL USERS. THE PRECEDING IS IN ADDITION TO SPONSOR AND/OR ADMINISTRATOR SEEKING ALL AVAILABLE LEGAL REMEDIES AGAINST PERSONS DETERMINED TO BE ENGAGED IN SUCH CONDUCT.

10. DISPUTE RESOLUTION/GOVERNING LAW.

    To the fullest extent permitted by law, by participating in the Sweepstakes, you agree:

    - that any action at law or in equity arising out of or relating to these Official Rules or this Sweepstakes shall be filed exclusively in the U.S. District Court for the Eastern District of New York in Brooklyn, New York or New York State Court in Brooklyn, New York;

    - to the personal and exclusive jurisdiction of such courts for the purposes of litigating any such action, waiving any right of change of venue, forum non conveniens or the like;

    - that any such action shall be resolved individually, NOT as part of a class action;

    - that any claims/judgments/awards shall be limited to actual out-of-pocket costs incurred (if any), with all other forms of damages, remedies and relief being expressly waived, and under no circumstances will you be awarded attorneys’ fees; and

    - these Official Rules and this Sweepstakes shall be governed by the substantive laws of the New York State (i.e., without regard to the choice of law/conflict of law principles of New York State or of any other jurisdiction).

11. Winners' List.

    For the names of winners (first name, last initial; city/state), send a self-addressed, stamped envelope to: Lottery USA $3K Giveaway c/o Probability LLC, P.O. Box 1559, Social Circle, GA 30025-1559. Requests must be received no later than September 1, 2023. Winners’ list will be available after October 1, 2023.
